1. Acceptance of Terms

By accessing or using Orbit, you agree to these Terms of Service. If you do not agree, you must not use the service.

2. Eligibility and Account Security

You must be at least the minimum legal age in your jurisdiction to use Orbit. You are responsible for account credentials, all activity under your account, and promptly notifying us of unauthorized access.

3. Service Scope and Changes

Orbit provides PDF reading and AI-assisted workflows through website and app experiences. We may add, remove, or modify features at any time, including for maintenance, security, legal compliance, or product improvement.

4. AI Features and Output

Orbit uses third-party AI providers. AI output may be incorrect, incomplete, outdated, offensive, or unavailable. You are solely responsible for reviewing and validating AI output before relying on it.

Orbit is not professional legal, financial, medical, accounting, or safety advice. Do not use AI output as the sole basis for critical decisions.

5. Subscriptions, Billing, and Cancellation

Paid plans are processed by Paddle (merchant of record). Prices, taxes, billing cycle, and plan details are shown at checkout.

  • Subscriptions renew automatically unless canceled before the next renewal date.
  • Cancellation takes effect at the end of your current billing period (monthly or annual).
  • After cancellation, you retain access to paid features until that current paid period ends, and you will not be charged for subsequent billing periods.
  • Refund requests must be submitted within fourteen (14) calendar days of the applicable transaction date. For subscriptions, this 14-day window applies to the initial purchase and each renewal transaction.
  • After the 14-day refund window has passed, charges are non-refundable.
  • Refunds are processed by Paddle under Paddle buyer terms and policies. Billing support requests can be submitted through Paddle checkout records or by contacting orbit.lab.service@gmail.com.
  • We may change plan pricing for future billing periods. Where required, we will provide advance notice, and price changes will not apply retroactively to the current paid period.
  • Chargebacks or payment reversals may result in suspension until issues are resolved.

6. Usage Limits and Credits

Plan quotas, fair-use rules, and feature limits may apply. Unless expressly stated otherwise, credits and quotas are non-transferable, have no cash value, and may reset by billing cycle.

7. User Content and License

You retain ownership of your content. You grant us a limited, non-exclusive license to host, process, transmit, and transform your content only as needed to operate, secure, and improve Orbit.

You represent that you have all rights and permissions needed to upload and process your content.

8. Acceptable Use

  • You must not use Orbit for unlawful, harmful, fraudulent, or abusive activity.
  • You must not infringe intellectual property, privacy, or other legal rights.
  • You must not upload malware or attempt to disrupt, probe, or bypass service protections.
  • You must not reverse engineer Orbit except where prohibited by applicable law.

9. Third-Party Services

Orbit relies on third-party providers including Firebase, Paddle, Gemini, OpenRouter, and infrastructure partners. Their services may experience outages, policy changes, or latency beyond our control, and their own terms may apply to your use.

10. Suspension and Termination

We may suspend or terminate access where reasonably necessary, including for Terms violations, legal compliance, abuse prevention, security incidents, or payment issues. You may stop using Orbit at any time.

11. Intellectual Property and Infringement Reports

Orbit software, branding, and service content are owned by us or our licensors and protected by applicable laws. These Terms grant only a limited right to use the service.

If you believe content on Orbit infringes your copyright or other intellectual property rights, send a notice to orbit.lab.service@gmail.com including: (a) your identity and contact details, (b) description of the protected work, (c) description of the allegedly infringing material and its location, (d) your good-faith statement, and (e) a statement that the notice is accurate and you are authorized to act. We may remove or restrict content while reviewing such notices.

12. Disclaimer of Warranties

To the maximum extent permitted by law, Orbit is provided on an "as is" and "as available" basis without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, error-free operation, or accuracy of output.

We do not warrant that AI features will always be available, accurate, complete, secure, or suitable for your intended purpose.

13. Limitation of Liability

To the maximum extent permitted by law, Orbit is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, data, or business opportunities.

This includes claims arising from AI output errors, service downtime, third-party provider failures, network interruptions, or your reliance on generated output.

To the maximum extent permitted by law, our total aggregate liability arising out of or related to the service will not exceed the amount you paid for the paid service during the three (3) months immediately before the event giving rise to the claim. For annual plans, this amount is calculated on a monthly pro rata basis.

Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for willful misconduct, gross negligence, fraud, or other non-excludable legal rights.

14. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Orbit from claims, liabilities, damages, and expenses arising from your content, your misuse of the service, or your breach of these Terms.

15. Governing Law and Disputes

These Terms are governed by the laws of the Republic of Korea, without regard to conflict-of-law principles. Unless mandatory law provides otherwise, disputes will be subject to the exclusive jurisdiction of the Seoul Central District Court.

If you are a consumer in a jurisdiction with mandatory rights or remedies, nothing in these Terms limits those non-waivable rights.

16. Changes to These Terms

We may update these Terms from time to time. Updated Terms become effective when posted with a revised "Last updated" date. Continued use after the effective date constitutes acceptance.

For material changes, we may also provide additional notice through the service interface or by email where reasonably practicable.

17. General Legal Terms

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force. Failure to enforce any provision is not a waiver of our right to do so later.

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, restructuring, or sale of assets.

We are not liable for delay or failure caused by events beyond our reasonable control, including internet outages, infrastructure failures, labor disputes, natural disasters, war, governmental actions, or third-party service disruptions.

Sections that by nature should survive termination, including payment obligations, disclaimers, limitation of liability, indemnification, and dispute provisions, will survive termination.

These Terms, together with our Privacy Policy and any terms presented at checkout, form the entire agreement between you and Orbit regarding use of the service.

These Terms may be translated for convenience. In the event of any inconsistency between language versions, the English version will prevail to the extent permitted by applicable law.
